Terms of Service

Welcome to NextPhone. These Terms of Service ("Terms") govern your use of the NextPhone AI Receptionist service ("Service") provided by Pure Labs Inc. ("we," "us," "our"). By using NextPhone, you agree to be bound by these Terms. If you use NextPhone on behalf of a business, "you" means that business, and you represent that you have the authority to bind it to these Terms.

1. Service Description

NextPhone provides an AI-powered receptionist service that answers phone calls on your behalf, takes messages, and assists callers with scheduling and inquiries. The Service includes call handling, call recording and transcription, text messaging, and optional calendar and CRM integration features. Recording and transcribing the calls the Service handles is a core part of how the Service works — it is how transcripts, summaries, and notifications are produced.

2. Account Registration

To use NextPhone, you must:

• Be at least 18 years old
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized account access

You are responsible for all activities that occur under your account.

3. Acceptable Use

You agree not to use NextPhone to:

• Violate any applicable laws or regulations
• Engage in fraudulent, deceptive, or misleading activities
• Harass, threaten, or harm others
• Transmit spam, malware, or other harmful content
• Interfere with or disrupt the Service
• Attempt to gain unauthorized access to our systems

4. Call Recording and Legal Compliance

The Service records and transcribes every call it handles; by using the Service, you acknowledge and accept this. Laws governing call recording, monitoring, telemarketing, and text messaging vary by state and country, and some jurisdictions require the consent of all parties to a call before it may be recorded. You are solely responsible for ensuring that your use of the Service complies with all laws that apply to you and to the people who call or message you, including:

• Obtaining any consents required to record, transcribe, or analyze calls handled on your behalf
• Providing any notices or disclosures required in your jurisdiction or your callers' jurisdictions, including configuring your greeting or other disclosures where notice of recording is required
• Complying with telemarketing and text-messaging laws (including the Telephone Consumer Protection Act) for any calls made or text messages sent through the Service, including having the necessary consent to contact each recipient and honoring opt-out requests

We provide the tools; how they are used with your callers is your decision and your responsibility.

5. Third-Party Integrations

NextPhone may integrate with third-party services such as Google Calendar. When you connect third-party services:

• You authorize us to access and use data from those services as described in our Privacy Policy
• You remain subject to the third party's terms of service
• We are not responsible for the availability or functionality of third-party services
• You may disconnect integrations at any time through your account settings

6. Payment and Billing

Certain features of NextPhone require a paid subscription. By subscribing:

• You agree to pay all applicable fees for your selected subscription plan
• All subscription fees are non-cancellable and non-refundable. You are responsible for fees for the entire duration of your current billing period regardless of actual usage
• Subscriptions automatically renew at the end of each billing cycle (monthly or annually, as applicable) unless you cancel at least 24 hours before the next renewal date
• Cancellation takes effect at the end of your current paid billing period. You will retain access to the Service until that period expires, but no pro-rated or partial refunds will be issued
• If you upgrade your plan, the new rate takes effect immediately. If you downgrade, the change takes effect at the start of your next billing cycle

7. Intellectual Property

NextPhone and all associated content, features, and functionality are owned by Pure Labs Inc. and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express permission. As between you and us, you retain all rights in your data — the recordings, transcripts, messages, and contact records generated for your account — and you grant us the limited rights needed to host, process, and transmit that data to provide, secure, and support the Service.

8. Disclaimer of Warranties; AI-Generated Content

NextPhone is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or secure.

Responses generated by your AI assistant may contain errors or inaccuracies. Statements made by the assistant — including appointment details, pricing, availability, or other commitments — are made on your behalf and are your responsibility; they are not commitments by Pure Labs Inc. The Service does not provide legal, medical, financial, or other professional advice.

9. Emergency Services

NextPhone is not a replacement for traditional emergency services. The Service cannot place or receive 911 or other emergency calls, and you should not rely on it for emergency communications. You are responsible for maintaining an alternative means of contacting emergency services.

10. Limitation of Liability

To the maximum extent permitted by law, Pure Labs Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of NextPhone.

To the maximum extent permitted by law, the total aggregate liability of Pure Labs Inc. and its officers, directors, employees, and agents for all claims arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Pure Labs Inc. and its officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) the recording, transcription, or analysis of calls handled on your behalf; (c) text messages or calls made through the Service; (d) the content of communications between your AI assistant and your callers; or (e) your violation of these Terms or of any applicable law.

12. Dispute Resolution; Class Action Waiver

Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted on an individual basis. The arbitrator will decide questions about the scope and enforceability of this arbitration agreement. You and Pure Labs Inc. each waive the right to a jury trial and agree that claims may not be brought as a plaintiff or class member in any class, consolidated, or representative proceeding. If the class-action waiver is found unenforceable as to a particular claim, that claim — and only that claim — may proceed in court, and the remainder stays in arbitration. Either party may bring an individual claim in small-claims court instead of arbitration. This section survives termination of these Terms or your account.

13. Termination

We may suspend or terminate your access to NextPhone at any time for violation of these Terms or for any other reason at our discretion. You may terminate your account at any time by emailing support@getnextphone.com. When you request deletion, we delete the data associated with your account as described in our Privacy Policy.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes through the app or by email. Your continued use of NextPhone after changes take effect constitutes acceptance of the updated Terms.

15. Healthcare Compliance Disclaimer

NextPhone is not a covered entity under federal healthcare privacy regulations. We do not offer or execute Business Associate Agreements (BAAs). You may not use NextPhone to create, receive, maintain, or transmit protected health information, and if your business is subject to healthcare privacy regulations that require a BAA with service providers, you may not use NextPhone for those workflows. It is your responsibility to ensure that your use of NextPhone complies with all applicable laws and regulations.

16. SMS / Text Messaging

NextPhone includes SMS text-messaging features that let businesses send and receive text messages with people who contact them, and let account holders receive text notifications. By providing your mobile number and agreeing to be texted, you consent to receive SMS messages related to your inquiry, matter, or account.

• Messages are transactional and conversational (for example, replies to inquiries, appointment confirmations, scheduling links, status updates, and account notifications). We do not send marketing text messages.
• Message frequency varies. Message and data rates may apply.
• You can opt out at any time by replying STOP. Reply HELP for assistance, or contact support@getnextphone.com.
• Mobile information and messaging consent are not shared with third parties or affiliates for marketing or promotional purposes. See our Privacy Policy for details.
• If you use NextPhone to send text messages to your callers or clients, you are responsible for having their consent to be texted and for honoring opt-out requests, as described in Section 4.
